This CLE course will provide energy counsel and investors guidance on the legal framework and key considerations for financing carbon capture projects. The panel will discuss the key components of financing carbon capture, project eligibility requirements, the process for project evaluation and selection, reporting and annual disclosures, beginning construction rules and allocations of partnership flip structures, and best practices for energy counsel, investors, and developers.
Faculty

Mr. Marciano is a member of the firm’s Global Project Finance Group. He focuses on providing tax, legal and commercial advice in relation to the development, financing, purchase, and sale of energy and infrastructure projects. Mr. Marciano works with a wide range of clients, primarily in connection with solar, wind, geothermal, fuel cell and biomass projects, and their development, ownership and financing.

Mr. Kamyans is a partner in the global Projects, Energy, Natural Resources and Infrastructure practice, based in our Washington, D.C. office. He is well regarded for his expertise in partnership tax structuring and negotiating key tax deal points in a wide array of transactions focused on financing renewable energy infrastructure, and brings unique expertise in carbon capture transactions. In addition, Mr. Kamyans has significant experience negotiating and advising domestic and international taxpayers in mergers and acquisitions focusing on implementing tax-efficient cross border deals.

Mr. Chabina began his career as an investment banker in New York working on mergers and acquisitions, debt and equity capital raises, and financial restructuring assignments of various companies. He worked across a wide range of industries including specialty chemicals, agriculture, consumer products, retail, healthcare, community banking, building materials, aerospace and defense, media, manufacturing and automotive.
