This CLE webinar will provide an introduction to drafting commercial real estate purchase and sale agreements (PSA) with a focus on pre-drafting considerations for buyers’ and sellers’ counsel. The expert speaker will provide an overview of commercial real estate sales transactions; discuss important buyer and seller issues that should guide negotiations; and address how to establish a deal timeline and draft the letter of intent.

Description
Purchasing and selling commercial real estate is often a lengthy and complex process. While there are considerations and terms common to many transactions, there are also unique issues to be contemplated by counsel for buyers and sellers before even drafting the agreement.
Factors influencing terms that will eventually be incorporated in the PSA include, among others, industry-specific issues, jurisdictional considerations, property type and location, financing, and how quickly the parties are seeking to close. Counsel should understand pre-drafting considerations to drive contract negotiation to best protect their clients’ interests.
