Purchasing and selling commercial real estate is often a lengthy and complex process. While there are considerations and terms common to many transactions, there are also unique issues to be contemplated by counsel for buyers and sellers before even drafting the agreement.

Factors influencing terms that will eventually be incorporated in the PSA include, among others, industry-specific issues, jurisdictional considerations, property type and location, financing, and how quickly the parties are seeking to close.
