Introduction
This CLE webinar will guide counsel for buyers and sellers through the complex process of purchasing and selling a restaurant. The panel will examine critical due diligence considerations and offer best practices for drafting key provisions in the purchase and sale agreement (PSA) to best protect client interests.
Description
Purchasing a restaurant is a complex process with additional due diligence and drafting considerations for buyers and sellers beyond those in the typical commercial real estate sales transaction. Therefore, counsel for the parties must try to ensure that due diligence is thorough and the PSA provides a sufficient roadmap through the acquisition and disposition process that considers all stakeholders and meets the parties' reasonable expectations.
Due diligence and pre-transaction considerations should include, among others, deciding on the transaction structure and terms of purchase; performing a compliance audit; examining additional agreements tied to the business including leases, vendor agreements, and employment agreements; understanding tax liability and risks; and ensuring the ability to obtain necessary licenses and permits.
The PSA should accurately reflect the terms and conditions negotiated by the parties and include buyer and seller representations and warranties and closing terms.

Ms. Bouskila has a broad-based transactional practice where she focuses on all aspects of the development, management, acquisition, disposition, corporate structuring and financing of hospitality and leisure deals. Prior to working in the United States, she practiced law in Sydney, Australia at leading international law firms, where she managed and executed complex real estate capital transactions including acquisitions and disposals of commercial office buildings, industrial estates, retail centers and hotels, infrastructure projects and corporate deals, primarily for national and international listed property trusts, real estate funds, private equity groups, investment banks, international investors and major property developers.
