The ABCs of the UCC Article 9: A Secured Transactions Primer for Banking, Commercial Finance, and Corporate Lawyers

Understanding Security Interests, Perfection, Priority, and Enforcement Without Returning to Law School

About the Course

Introduction

This CLE course will provide experienced attorneys with a working framework of UCC Article 9, covering attachment, perfection, priority, default, and enforcement. Our presenter will address security agreements, financing statements, collateral, and bankruptcy implications, offering strategies to spot issues and avoid drafting, diligence, and filing mistakes often encountered and missed in corporate, finance, bankruptcy, restructuring, and commercial transactions.

Description

Article 9 of the Uniform Commercial Code is everywhere in corporate and commercial practice. It governs the liens securing revolving credit facilities and acquisition financing, determines who has priority in a borrower's assets, shapes diligence in corporate transactions, and becomes critically important when a borrower defaults or files bankruptcy. Yet many practicing lawyers never took Secured Transactions in law school—or took it years ago and have not had occasion to revisit the fundamentals.

This 90-minute program provides a practical, accessible discussion of Article 9 designed specifically for lawyers who encounter secured transactions in corporate, finance, bankruptcy, restructuring, and commercial practices. Rather than approaching Article 9 as an academic exercise, the program follows the life cycle of a typical secured transaction: attachment, perfection, priority, default, and enforcement. Using common transaction documents and real-world examples, the program will explain what lawyers need to know about collateral descriptions, security agreements, financing statements, filing locations, proceeds, deposit accounts, perfection by control and possession, competing liens, purchase-money security interests, and the consequences of getting Article 9 wrong.

Listen as esteemed panelist George Singer provides an authoritative review of the Article 9 life cycle and gain practical strategies to spot issues; develop key transaction questions to ask to determine when additional Article 9 analysis is required; and determine whether a creditor holds a perfected first-priority lien. The lessons learned will help practitioners and their clients avoid costly drafting, diligence, and filing mistakes.
