This CLE webinar will provide energy counsel guidance on practical approaches for financing and developing renewable fuel projects and overcoming regulatory compliance challenges in deal structures. The panel will discuss key compliance challenges impacting renewable natural gas, effective deal structures for financing and mitigating risks, and key tax considerations.
Faculty

Mr. Goldberg has more than twenty years’ experience in private practice advising clients on energy and infrastructure projects and real estate transactions, and as general counsel to a renewable energy company. He also serves as the firm’s Property & Finance Practice Group Leader.

Mr. Reardon has more than thirty years of experience representing private and public companies in corporate and tax matters. As a counselor to closely-held partnerships, limited liability companies, S corporations, and their owners, he helps businesses reduce or eliminate federal corporate income taxation and achieve both operational and transactional goals. As a counselor to publicly-traded corporations, Mr. Reardon advises regarding the consolidated return rules, tax-free reorganizations, recapitalizations, and withholding tax issues. His services include NOL preservation upon a change-of-control, consequences arising from cancellation or modification of debt, and the issuance of new debt or equity instruments to investors or creditors. Mr. Reardon represents investment funds including private equity, real estate, infrastructure, and mezzanine.
Description
Renewable fuels provide many benefits, but they do not always fit neatly into a familiar legal landscape within the energy sector. Counsel must develop a complete understanding of the regulatory challenges, financing options, and deal structures to minimize risks along with crucial tax considerations to ensure the success of renewable natural gas projects.
Renewable fuels are typically produced from the anaerobic digestion of organic materials, with the most common materials used being livestock manures, landfill gas and solid waste. They are predominately used for thermal applications, electricity generation, vehicle fuel, feedstock for bioproducts, and hydrogen production. The continued success of using renewable fuels depends on the effective management of various natural resources, waste, and alternative sources.
Investors and lenders intending to take advantage of the need for renewable fuels and other alternative energy resources must be aware of various legal, compliance, and tax issues associated with renewable fuels. Counsel must be knowledgeable of the regulatory treatment in certain jurisdictions, techniques in structuring deals to minimize risks, and other related items with far-reaching implications if not adequately considered.
