This CLE course will guide energy counsel on the processes and legal challenges for adapting or repurposing fossil fuel assets for the energy transition. The panel will discuss legal implications for adapting assets to become greener, repurposing as an alternative to decommissioning and stranded assets, possible deal structures for adapting or repurposing assets, and managing federal and state law challenges.
Faculty

Ms. Suchman is a partner in the Real Estate, Energy, Land Use & Environmental Practice Group in the firm's New York office. She has more than 30 years’ experience in all facets of environmental and energy law and policy, advising clients on transactions, litigation and regulatory matters. Her practice includes permitting and compliance, transactional due diligence, litigation and legislative matters. Ms. Suchman works closely with real estate and industrial developers on traditional environmental and land use matters, as well as community and governmental matters, sustainability, and resilience. is a member of the firm’s ESG and Sustainability team and advises clients on disclosure rules in connection with climate impacts and “green advertising.” She works on renewable energy and energy storage projects, the conversion of traditional refineries to biofuel production, and carbon capture and sequestration.

Mr. Sturtevant is an attorney in the Real Estate, Energy, Land Use & Environmental Practice Group in the firm's New York office*. His practice focuses on project development and complex transactions in the regulated utility and renewable energy sectors, including the emerging offshore wind and energy storage markets. Mr. Sturtevant represents clients in project and asset acquisitions and dispositions, joint ventures and joint development arrangements, a variety of offtake arrangements, construction and procurement agreements and other commercial matters integral to the full life span of a project. He has served in both outside counsel and in-house roles with clients ranging from developers, family funds, PE shops and hedge funds to regulated utilities. Mr. Sturtevant is licensed in Massachusetts and currently pending admission in New York.

Mr. Peterson is a partner in the Corporate Practice Group in the firm's Houston office. He represents public and private companies in connection with mergers and acquisitions, dispositions, joint ventures, securities offerings, corporate restructurings, venture capital, private equity financings and matters related to corporate governance. Mr. Peterson also has significant experience representing clients in a diverse array of industries, including energy, food and beverage, hospitality, automotive and industrial. He has advised companies, family offices, sponsors, borrowers, lenders and investors on hundreds of transactions totaling several billions of dollars over his career.
Description
The focus on clean energy continues to impact the energy industry in positive and negative ways. Owners and investors must consider physical assets that can be adapted, repurposed, or sold to maximize the value of existing assets and avoid the risk of stranded assets and the high costs of decommissioning or dismantling those assets.
The repurposing of existing infrastructure to support the low carbon supply chain creates a new revenue stream for existing assets. Repurposing these assets, however, involves a critical analysis of various federal and state regulations, potential liability, and an understanding of structuring deals to repurpose and adapt these assets, all in a rapidly evolving environment.
