Course Details

This CLE course will guide counsel seeking to revise master service agreements (MSAs) to reflect current legal and business conditions. The panel will discuss how key provisions in MSAs can help ensure that an organization's needs and challenges are effectively addressed from both sides of the negotiating table.

Description

As a standard tool for organizations of all sizes, an MSA helps to define an overall relationship between an organization and its vendor. An MSA helps streamline contracting when the parties anticipate a long-term relationship.

Given the expectation of a long-term relationship, an MSA requires routine review to ensure it remains compliant with current law and industry standards, as well as the evolving business environment. Counsel must review and assess changes in applicable jurisdictions' laws, particularly with respect to technology (including the increasing use of AI technology), data privacy and cybersecurity laws, as well as change in scopes of work that may require changes to the associated liability allocation.
