Introduction

This CLE course will discuss legal issues attendant with advising family offices established by high-net-worth individuals and families. The program will discuss the Investment Advisers Act, employment and executive compensation, and U.S. and foreign income tax issues.

Description

Family offices are increasingly sophisticated platforms through which high-net-worth families manage investments, governance, tax planning, estate planning, philanthropy, risk, and administration. Their legal profile can vary significantly depending on whether the office serves a single family, multiple family offices, or third parties.

This program will provide a useful practice-oriented framework for attorneys advising family offices, addressing core structuring considerations, including single-family versus multi-family office models, entity formation, tax-efficient management company structures, and the impact of Code Section 212. The discussion will also cover key regulatory issues under the Investment Advisers Act of 1940, including the “family office exemption, issues related to SEC registration, and regulatory disclosure and compliance obligations.

The program will survey recurring legal subject areas that counsel to family offices may face, including employment, executive compensation, privacy and cybersecurity, crisis management, litigation, and tax controversy. The panel will also highlight trusts and estates issues, including fiduciary duties, and planning lessons from cases such as Powell, as well as cross-border issues involving non-U.S. family members and entities.

Ms. Duval works with fund managers, sophisticated family offices, and other private capital investors on tax and entity structuring, investment planning and execution, and private fund formation and management. She advises fund managers and investors on the structuring and formation of private funds. In her guidance to clients, Ms. Duval reviews and negotiates fund documents across a variety of private fund types, including private equity funds, real estate funds, hedge funds, digital assets, and venture capital. She provides tax and structuring advice on co-investment opportunities and direct capital investments across a spectrum of asset classes. A tax lawyer by training, Ms. Duval understands the tax rules related to private foundations and other charitable organizations and advises on the associated challenges when these entities or related individuals are parties to an investment. In her role as trusted counsel for family offices, Ms. Duval guides the structuring and servicing of family offices and transactional work related to their investments. She also advises family offices and private foundations on such issues as social capital and grantmaking.

Mr. Ghazi advises founders, family offices, fund sponsors, and investors on complex legal and tax matters involving domestic and cross-border wealth and investment structuring. His practice sits at the intersection of private client services, investment funds, and tax planning. Mr. Ghazi helps clients form and restructure family offices; design trust, investment, and ownership structures; and organize private investment, fund, and co-investment platforms in a manner that aligns tax efficiency, governance, investment flexibility, and long-term family and business objectives. He has significant experience in structuring inbound and domestic investments in real estate, infrastructure, REITs, registered funds, and other real asset and alternative investment platforms. Mr. Ghazi brings an operator’s perspective from inside the institutions he now advises, with practical experience balancing legal, tax, investment, and business considerations. He previously served as managing director and deputy general counsel of a multifamily office and asset manager with more than $70 billion in assets, where he led product structuring and strategic transactions. Mr. Ghazi earlier served as general counsel of a registered fund focused on private equity secondaries with more than $1 billion in assets. He contributes regularly to Tax Notes, Crain Currency, the National Law Journal, and Family Wealth Report.
