Banking and Financial Services Regulatory Update: Insider Lending, Digital Assets, M&A, Preemption, Enforcement

Preparing Institutions for Regulatory Change, Compliance, Federal Recalibration, and State Enforcement Expansions

About the Course

Introduction

This CLE course will examine key 2026 federal and state banking and financial services developments, including proposed insider lending changes, digital assets, Bank Secrecy Act (BSA) and Anti-Money Laundering/Countering the Financing of Terrorism (AML/CFT) obligations, chartering, and mergers. The panel will address preemption, enforcement priorities, compliance strategies, and the 2027 regulatory outlook.

Description

In 2026, technology advancements and shifts in federal regulation and enforcement materially changed banking and financial services. Executive orders reshaped BSA, AML/CFT, and lending obligations. Federal agencies asserted preemption over state interchange and escrow laws, while the OCC, FRB, and FFIEC recalibrated supervisory expectations amid related court challenges.

The Federal Reserve Board recently proposed a comprehensive revision of Regulation O governing bank credit to executive officers, directors, principal shareholders, and their affiliates (collectively, the "insiders"). At the same time, the FDIC proposed raising and indexing certain insider lending thresholds for FDIC-supervised institutions (the FDIC proposal). Some view the enacted and proposed 2026 changes as reshaping the financial ecosystem on a scale comparable to the 2008 financial crisis and Dodd-Frank reforms. As federal policy shifts and oversight eases, states are taking a larger role in financial services regulation.

During this presentation, our faculty will explore the most significant federal banking and financial services developments of 2026, including recently proposed changes to Regulation O and FDIC's insiders' lending thresholds; changes in bank regulation related to digital assets; financial institution chartering; mergers and acquisitions standards; third-party risk management; and more. Time will also be spent examining state efforts to reshape financial services regulation, highlighting key categories of state legislative activity, the OCC's increasingly active preemption position and state responses, and the evolving interplay between state and federal regulators. The panel will also address current enforcement priorities among state agencies, including attorneys general, and offer practical insights on emerging trends.

Listen as our panel provides an authoritative analysis of key federal and state developments in banking and financial services, the compliance strategies financial services and bank institutions need to implement now, and how to prepare for changes on the horizon.
